If you enjoy working with team members whose defining characteristics are exceptional client service, initiative, professionalism, responsiveness, and adaptability, you may be the person we are seeking to join our Paralegal department in our New York office as a Paralegal - Finance.

 

In this position you will provide integral support to the firm’s  finance attorneys and clients by performing and coordinating various tasks relating to but not limited to leveraged finance, secured lending, securitization and fund finance transactions from pre to post closing.

 

Responsibilities

Essential Functions:

 

  • Prepare UCC Financing Statements, Amendments, Assignments, Continuations, and Terminations
  • Coordinate filing of UCCs with various service providers
  • Prepare and file EIN applications
  • Perform research regarding existing entities. Obtain certified documents from Secretary of State, other state or local government agencies, OCC, and FDIC
  • Order, review, and summarize lien search results
  • Draft initial short form agreements, officer certificates, and corporate resolutions
  • Edit documents such as promissory notes, guaranties, security agreements, consents, and finance statements
  • Draft entity formation documents
  • Analyze revisions between drafts of various transaction documents
  • Obtain CIK codes and CUSIP numbers
  • Coordinate license application process for Sales Finance Licenses
  • Draft Notes and Trust Certificates
  • Update ancillary documents
  • Manage and track distribution documents and signature pages
  • Coordinate electronic file sharing platforms for closings
  • Prepare and maintain closing checklists to ensure agreements and closing conditions are met
  • Perform post-closing duties such as filing UCCs, indexing and compiling closing sets, and coordinating distribution of same

 

Qualifications

Education/Training/Certifications:

  • Bachelor’s degree in a related field required.
  • Paralegal education from ABA approved paralegal program, preferred.

 

Professional Experience:

  • 10+ years’ experience, required.

 

Technical Skills:

  • Proficiency in Microsoft Office products, required.
  • Knowledge of vendor resources and systems for the preparation of UCC’s, other forms, and retrieval of public records, required.
  • Notary experience, a plus.

  • Strong written and verbal communication skills, able to communicate effectively and in a professional manner with all levels of the Firm and outside vendors;

  • Must be a self-starter with a high level of initiative;

  • Strong attention to detail, organizational skills and the ability to handle multiple projects;
  • Maintains confidentiality and exercises discretion;
  • Exercises solid strategic thinking and problem-solving skills.

 

The typical pay scale for this position in New York is between $114,300 and $151,200, although the actual wage or salary could be lower or higher if the candidate’s education, experience, skills and internal pay alignment are different from those specified.
