- Prepare various documents/instruments: UCC forms/attachments, closing lists, corporate charters, LLC/partnership formation documents, corporate resolutions, officer certificates, etc. - Participate in finance closings: create/update closing list, distribute documents/signature pages, and draft closing certificates - Control of closing documents during closing - Post-closing assembly/distribution of closing documents and closing volumes - Order/review/chart lien searches, order business entity documents from public offices (certified charter, good standing, etc.) - File UCC and corporate/partnership organizational and other documents with state offices - Participate in and help manage due diligence projects - Coordinate/oversee the work of the closing clerk, especially in the post-closing process - Such other duties as may be required from time to time

Position Summary: The paralegal will work closely with attorneys, drafting offering documents for structured notes offerings. After being trained, the paralegal will be expected to work independently with clients, with minimal supervision. The paralegal will be expected to keep track of the timing of any offerings worked on so that client deadlines and SEC filing deadlines will be met. An interest in finance is ideal but not required. Essential Functions: Drafting high volumes of structured note pricing supplements daily, to be approved by clients and subsequently filed with the SEC. The paralegal will also assist attorneys at times with the closing of securities offerings by companies in various industries, including the financial, pharmaceutical and technology sectors. Securities:  - Assists in the preparation and filing of SEC documentation including, but not limited to, pricing supplements, term sheets and prospectus supplements. - Extensive interaction with Wall Street financial institutions. - Prepares drafts of structured note offering documents. - Liaise with attorneys regarding status of offerings and documentation. Position Summary:    This opening is a professional position supporting attorneys in the Private Equity, Funds and Investment Management practices, reporting directly to the Assistant Director of Business Development. The main functions will be to collaborate with attorneys and Firm leaders in promoting our world-class practices, to perform marketing and research functions, and to coordinate events. The ideal candidate will have at least six years of experience, including at least three years working with another law firm or a financial services firm to develop and conduct integrated marketing programs in sectors relating to Private Equity, Funds and/or Investment Management.
